Partner Program
Terms & Conditions

•Effective immediately upon program application

By applying to or participating in the PesaBill Partner Program, you agree to be bound by these Terms and Conditions. Please read them carefully.

1. Eligibility

To participate in the PesaBill Partner Program, you must:

•Be at least 18 years of age or the age of majority in your jurisdiction.
•Have an active, valid email address and be able to receive email communications.
•Operate a legitimate business, personal brand, or content channel.
•Not be a PesaBill employee, contractor, or immediate family member thereof.
•Not have previously been suspended or terminated from the PesaBill Partner Program.

PesaBill reserves the right to deny or revoke partnership status at its sole discretion if eligibility requirements are not continuously met.

2. Commission Structure

Partners earn commissions based on the following terms:

•Default Commission Rate: 20% of the net subscription value of referred customers, depending on tier.
•Recurring Window: Commissions are paid for up to 12 months from the referred customer's first subscription payment.
•Commission Hold: All commissions are held for a 30-day refund protection period before becoming eligible for payout.
•Minimum Active Period: Referred subscriptions must remain active for at least 30 days before commissions are approved.
•Refund Policy: If a referred customer receives a refund within the 14-day refund window, the corresponding commission will be cancelled.
•Custom Rates: Enterprise partner rates are negotiated separately and governed by a supplemental Partner Agreement.

Commission rates may be updated periodically. Partners will be notified of any rate changes with at least 30 days' notice.

3. Payouts

Payout requests are subject to the following terms:

•Minimum Payout: The minimum payout request amount is $50 USD.
•Processing Time: Approved payout requests are processed within 5–10 business days.
•Payment Methods: Supported payout methods include bank transfer, PayPal, Paystack, and Flutterwave.
•Currency: All payouts are denominated in USD unless otherwise agreed. Currency conversion fees may apply.
•Tax Compliance: Partners are solely responsible for reporting and remitting all applicable taxes on commissions earned. PesaBill may request a completed tax form (W-9 or W-8BEN) where required by law.
•Unclaimed Balances: Commission balances not withdrawn within 24 months of being earned may be subject to forfeiture.

4. Prohibited Activities

The following activities are strictly prohibited and will result in immediate account suspension and commission forfeiture:

•Self-Referral: Referring your own accounts, household members, or business entities you control.
•Spam: Distributing referral links via unsolicited email, SMS, or social media spam.
•Misleading Promotion: Promoting PesaBill using false claims, misleading pricing, or deceptive marketing.
•Fake Reviews: Posting or incentivizing fake reviews on any platform.
•Branded Keyword Bidding: Running paid search ads bidding on PesaBill, PesaBill-related, or trademark-infringing keywords without prior written approval.
•Cookie Stuffing: Using any method to artificially inflate click or conversion counts.
•Fraud: Any attempt to manipulate the platform, exploit the commission system, or misrepresent your promotional activities.

PesaBill employs automated fraud detection and reserves the right to investigate and take action on suspected violations at any time.

5. Termination

Either party may terminate participation in the Partner Program at any time.

•By Partner: You may close your partner account at any time via your dashboard settings or by contacting support.
•By PesaBill: PesaBill may suspend or terminate your partner account for any violation of these terms, fraudulent activity, inactivity for more than 12 months, or at its sole discretion with reasonable notice.
•Effect of Termination: Upon termination, all pending commissions not yet matured will be forfeited. Approved commissions already in your available balance at the time of termination will be paid per the standard payout process, subject to final audit.

6. Intellectual Property

Partners may use PesaBill's name, logo, and approved brand assets solely for the purpose of promoting the Partner Program in accordance with our Brand Guidelines.

•You may not modify, distort, or create derivative works from PesaBill brand assets.
•You may not register any domain name, social handle, or business name that includes "PesaBill" or any confusingly similar term without prior written consent.
•All intellectual property rights in PesaBill's products, services, and content remain the exclusive property of PesaBill Technologies Ltd.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

•PesaBill shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your participation in the Partner Program.
•PesaBill's total liability to you for any claim arising under these terms shall not exceed the total commissions paid to you in the 3 months preceding the claim.
•PesaBill does not guarantee any specific earnings, revenue levels, or commission amounts.

8. Amendments & Governing Law

PesaBill reserves the right to modify these Partner Program Terms at any time. Material changes will be communicated via email or prominent notice within your dashboard.

Continued participation in the Partner Program after the effective date of any changes constitutes your acceptance of the revised terms.

These Terms are governed by the laws of Kenya and any disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya, unless otherwise required by applicable law in your jurisdiction.
